These Terms of Use (“Terms”) govern access to and use of TRCH OS, the internal business management application operated by Torch Group, LLC (“Torch Group”, “we”, “us”, or “our”) at os.trch.com, together with any related tools, integrations, and documentation (collectively, the “Service”). The Service is private business software made available solely to Torch Group personnel and other individuals we expressly authorize.
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by them. If you do not agree, you may not access or use the Service.
Acceptance of These Terms
These Terms form a binding agreement between you and Torch Group. You accept them by signing in to or otherwise using the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf.
Who May Use the Service
The Service is not a public or consumer product. It is provided only to employees, contractors, and other individuals to whom Torch Group has issued credentials for internal business purposes. There is no general public registration, and access is granted, modified, and revoked at our sole discretion. You may not use the Service if you have not been authorized by us to do so.
Accounts and Access
Access requires an individual account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Accounts are personal to you and may not be shared, transferred, or used by anyone else. You agree to notify us promptly at clientservices@trch.com if you suspect any unauthorized use of your account or any other breach of security.
We assign roles and permissions that determine what each user may see and do within the Service. You agree not to attempt to access data, features, or administrative functions beyond the permissions assigned to you.
Permitted Use
You may use the Service only for legitimate Torch Group business purposes, in accordance with these Terms, any internal policies we communicate to you, and all applicable laws and regulations.
Restrictions
You agree not to:
- access or use the Service without authorization, or after your authorization has been revoked;
- share credentials, or permit any third party to access the Service through your account;
- copy, export, publish, or otherwise disclose data from the Service except as required for your work and permitted by us;
- attempt to circumvent, disable, or interfere with any security, authentication, or access control feature;
- probe, scan, or test the vulnerability of the Service or any connected system, or attempt to gain unauthorized access to any account, data, or network;
- reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- introduce any virus, malware, or other harmful code, or use the Service in any way that may damage, disable, overburden, or impair it;
- use the Service to store or transmit unlawful, infringing, or harmful material; or
- use any automated means to access the Service or extract data from it without our prior written consent.
Client and Business Information
The Service contains confidential business information, including information relating to our clients, engagements, personnel, and finances. You agree to treat all such information as confidential, to use it only as necessary to perform your role, and to protect it in accordance with any confidentiality, employment, or contractor agreement between you and Torch Group. Your confidentiality obligations continue after your access to the Service ends.
Third-Party Services and Integrations
The Service connects to third-party platforms in order to function, including QuickBooks Online (Intuit Inc.), Slack, and Anthropic’s Claude API. Where the Service is connected to a third-party account, it may read data from that account and display it within the Service for authorized users. Our QuickBooks Online integration is read-only: it retrieves invoice and customer information belonging to Torch Group in order to display outstanding receivables, and does not create, modify, or delete any records in QuickBooks.
Your use of any third-party platform remains governed by that provider’s own terms and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services, and we may add, change, or discontinue an integration at any time.
Intellectual Property
The Service, including its software, design, structure, text, and other content, is owned by Torch Group or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for authorized internal business purposes only. No other rights are granted, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.
Data and Content
Data entered into or generated by the Service, including client records, engagement information, and financial data, is the property of Torch Group. We may access, review, monitor, retain, and delete such data as necessary to operate the Service, meet legal obligations, and enforce these Terms. You should not expect privacy in your use of the Service or in any data you enter into it.
For information about how we handle personal information, please see our Privacy Policy.
Availability and Changes to the Service
We provide the Service on an “as available” basis. We may modify, suspend, or discontinue all or part of the Service, including any feature or integration, at any time and without notice. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, and we are not liable for any unavailability.
Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms or if your relationship with Torch Group ends. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including confidentiality, intellectual property, disclaimers, limitation of liability, and governing law — will survive.
Disclaimer of Warranties
The Service is provided “as is” and “as available”, without warranty of any kind. To the fullest extent permitted by law, Torch Group disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, that it will be accurate or reliable, or that any defect will be corrected. Information displayed in the Service, including financial and receivables information drawn from third-party systems, is provided for internal reference and is not a substitute for the official records maintained in those systems.
Limitation of Liability
To the fullest extent permitted by law, Torch Group and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Service, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed one hundred U.S. dollars (US$100).
Indemnification
You agree to indemnify, defend, and hold harmless Torch Group and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service or for operational, legal, or regulatory reasons. The updated Terms will be posted on this page. Your continued use of the Service after the updated Terms are posted constitutes your acceptance of them.
Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
